1. Acceptance of Terms
By using the KaiDrys platform ("Platform"), you fully accept these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.
2. Age Requirements and Representation
Use of the Platform is restricted to individuals of legal age. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Account and Credentials
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must promptly notify us of any unauthorized use or security breach.
4. Nature of the Service (Beta and Availability)
Unless otherwise specified, the Service may be in a beta phase and is provided on an "as is" and "as available" basis. KaiDrys makes no warranties regarding uninterrupted availability, error-free operation, or fitness for a particular purpose.
5. User Content and Intellectual Property
You retain all ownership rights to the content you upload, create, or process on the Platform (texts, files, projects, code). You grant KaiDrys a worldwide, non-exclusive, royalty-free license to host, process, and display such content solely for the purpose of providing and operating the Service.
6. Artificial Intelligence, Analytics, and Derived Data
KaiDrys utilizes Third-Party Artificial Intelligence (AI) models to power core features. We do not use your proprietary private data to train public baseline AI models. KaiDrys may generate aggregated and/or anonymized data and statistical insights to improve the service, security, and operational models, in compliance with applicable laws and our Privacy Policy. Such aggregated outputs will not directly identify you.
7. Acceptable Use and Restrictions
You agree not to: use the Platform for unlawful purposes, distribute malware, perform unauthorized scraping, abuse APIs/features, upload content that infringes third-party rights, or attempt to compromise the security or availability of the Platform.
8. Third-Party Services and Payments
Certain features may rely on third-party services (e.g., payment processing, hosting, AI providers, authentication). Third-party terms and conditions may apply in addition to these Terms.
9. Suspension, Termination, and Account Closure
KaiDrys reserves the right to suspend or terminate accounts in the event of a breach of these Terms or security risks. You may terminate your use of the Platform at any time; however, any accrued obligations (including payment obligations) remain valid.
10. Limitation of Liability
To the maximum extent permitted by law, KaiDrys shall not be liable for any indirect damages, loss of profits, data loss, or business interruptions not attributable to willful misconduct or gross negligence. Any financial limitation of liability shall be defined by applicable law and any existing commercial agreements.
11. Indemnification
You agree to indemnify and hold KaiDrys harmless from any third-party claims arising from your unlawful use of the Platform or your breach of these Terms.
12. Governing Law and Jurisdiction
These Terms are governed by Italian law, subject to any mandatory overriding local laws. The exclusive jurisdiction for any disputes shall be the courts of Milan, Italy, unless a different mandatory jurisdiction applies by law.
13. Changes to the Terms
KaiDrys may update these Terms from time to time. Modifications will become effective upon publication, unless a specific notice period is required by law.
